UAVTEK LIMITED STANDARD COMMERCIAL END USER LICENCE AGREEMENT (EULA)

IMPORTANT – PLEASE READ CAREFULLY

By accepting delivery of, accessing, operating or using any UAVTEK product, system, software, firmware, documentation or associated materials (the Technology), the customer or end user (End User) agrees to be bound by this End User Licence Agreement (EULA).

If the End User does not agree to these terms, the Technology must not be used.

1. Ownership

All intellectual property rights in the Technology are and shall remain the exclusive property of UAVTEK Limited.

No ownership, title or interest in the Technology is transferred under this EULA.

2. Licence Grant

UAVTEK grants the End User a non-exclusive, non-transferable, non-sublicensable, revocable licence to use the Technology as supplied and as a finished system, solely for the End User’s internal business or personal purposes.

3. Permitted Use

The End User may operate the Technology in the same manner as it would operate any comparable unmanned system, including normal operation, training, testing and mission use, subject to the restrictions below.

4. Prohibited Uses

The End User shall not, without UAVTEK’s prior written consent:

reverse engineer, decompile, disassemble or analyse the Technology
extract, document or infer design choices, architectures, interfaces or performance characteristics
use the Technology as a reference design, benchmark or baseline for any competing product or system
create, commission or enable derivative works or alternative platforms
disclose the Technology or insights derived from its use to any third party for development, competitive or commercial purposes

Functional operation is permitted; extractive, derivative or competitive use is not.

5. Confidentiality

The Technology constitutes commercially sensitive proprietary information.

The End User shall take reasonable measures to prevent unauthorised access, disclosure or misuse of the Technology.

6. No Implied Rights

No rights are granted by implication, estoppel or otherwise, except as expressly set out in this EULA.

7. Termination

This EULA terminates automatically if the End User breaches any term of this Agreement.

Upon termination, all use of the Technology must cease and all UAVTEK materials must be returned or destroyed.

8. Remedies

The End User acknowledges that unauthorised use or disclosure of the Technology may cause irreparable harm to UAVTEK.

UAVTEK shall be entitled to seek injunctive relief, damages and any other remedies available at law.

9. Limitation of Liability

Nothing in this EULA limits or excludes liability that cannot be limited or excluded under applicable law.

10. Governing Law and Jurisdiction

This EULA is governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction.

11. Order of Precedence

This EULA applies notwithstanding any conflicting customer purchase order, terms or conditions, unless expressly agreed in writing by UAVTEK.
